Agreement
These terms are between you and The Modev Shop, LLC (“we”, “us”), which makes Orbit. “Orbit” means the Orbit web app, the Orbit browser extension and these pages. By using Orbit you agree to these terms and to the Privacy Policy. If you use Orbit for a restaurant, you confirm you're allowed to accept these terms for it, and “you” includes that restaurant.
Accounts
You need an account, or your restaurant's team sign-in, to use Orbit. Keep your sign-in details to yourself and tell us straight away if you think someone else has used them. Restaurant owners decide who is invited to their restaurant in Orbit and can remove people at any time.
Connected services
When you connect a service such as Toast, QuickBooks, Google or Meta, you allow Orbit to reach it on your behalf in the ways listed on the Connections page. Those services have their own terms, which still apply to you. We aren't responsible for their availability or for changes they make. You can switch a connection off or disconnect it in Orbit at any time.
Your data
Your restaurant's data stays yours. You give us permission to store, process and display it only to provide Orbit to you, keep it secure, fix problems, and build insights for you, as described in the Privacy Policy. We don't sell your data or share it with other restaurants. You can ask us to export or delete it at any time.
Aggregated, de-identified statistics that can't be tied to you, your restaurant or any guest may be used to improve Orbit. Data received from Google APIs is never used this way.
Guest information
You are responsible for the guest information you bring into Orbit: for having the right to collect it, for telling guests how you use it, and for getting any consent the law requires. That includes any consent needed before you turn on sending booking events to Meta, and before you contact guests for marketing. Orbit suggests guests to thank or call; it doesn't send messages, and a guest's contact details alone aren't permission to market to them.
What Orbit's insights are
Orbit shows what your own data says. When two things change together, Orbit reports that; it doesn't claim one caused the other. Data can be late, missing or wrong at the source, and Orbit marks gaps it knows about. Insights are information to help you decide, not financial, accounting, tax, legal or employment advice. Decisions about staffing, pricing, pay and guests remain yours.
Acceptable use
Don't use Orbit to break the law or anyone's rights; to access data you aren't allowed to see; to try to get around its security or sign-in; to overload or disrupt it; to copy it to build a competing product; or to send guests messages they haven't agreed to receive.
Early access and fees
Orbit is in early access. Features may change, be added or be removed, and there may be interruptions while we work on it. Orbit is currently offered without charge. If we introduce fees, we'll tell you at least 30 days in advance, and you can decide whether to continue before anything is charged.
Ending
You can stop using Orbit at any time and ask us to delete your restaurant's data. We may suspend or end access if these terms are broken, if the law requires it, or if we stop offering Orbit; except in urgent cases we'll give notice and time to export your data. The sections on your data, disclaimers and liability, and law and disputes continue after access ends.
Disclaimers and liability
Orbit is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and we don't promise Orbit will be uninterrupted, error-free, or that its numbers will be complete.
To the extent the law allows, we aren't liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of Orbit. Our total liability for any claim about Orbit is limited to the greater of the amount you paid us for Orbit in the 12 months before the claim, or US$100. Some places don't allow these limits, so they may not all apply to you.
You agree to cover our reasonable costs from claims by others that result from guest information you brought into Orbit without the right to do so, or from your breach of these terms.
Law and disputes
These terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules. Disputes will be heard in the state or federal courts located in Texas, and both sides agree to those courts' jurisdiction. Before going to court, please email us so we can try to resolve it directly.
Changes
We may update these terms. We'll change the date at the top, and for changes that reduce your rights we'll tell you in Orbit or by email at least 30 days before they apply. Continuing to use Orbit after that means you accept the new terms.
